On May 20th,  Family Business Radio host Pat Romboletti  flew solo (co-host Meredith Moore was out of town) and welcomed lawyer Lisa Glauber Shippel , Rolader & Shippel, P.C., who has a large part of her practice devoted to estate planning of all sizes. In addition to being a certified mediator in the State of Georgia, Lisa grew up in a family business and is now the sibling not involved in that family business.

Lisa’s family has a business operating camps in the NY area, but Lisa opted out and chose the path to a law career instead. 

Lisa and Pat began the discussion on estate planning by talking about the pitfalls to not having a proper plan in place. For instance, it complicates banking relationships and the loan process which the current recession has already complicated. It makes it hard on the heir in the business because it distracts them from taking over the reins. And, something Lisa knows about first-hand from her own family situation, if you have some children working in business and some not—how do you equably leave the estate to your children? What if the non-involved heir wants to get into the business now? If you want to leave the business to the child working in the business, how do make a fair distribution to your children not in the business? As you can see, the issues are varied and very thorny.

So–where to start estate planning process?

  • First, sit down with a team of experts—attorneys, wealth managers, and CPAs. With their help, you will want to customize a plan based on your individual needs. “No form, no cookie cutter plan, will work,” Lisa said. “Every family-owned business has different assets and different goals. Your experts need to understand all the nuances of your business.” By the way, Lisa also pointed out that you need to have a sense of security that you can say anything to these people, without fear that you will be judged or information will be leaked. Honesty is the best policy when putting together a workable estate plan.
  • Before the first meeting, gather a list of assets with their valuations. Also have in mind who your beneficiaries are. An end vision is nice to have, too.
  • Be prepared to discuss succession planning as regards the management of the business. It is a complex process that professionals who know what they’re doing can make easier for you.
  • There also needs to be a discussion about the way you want the business valued. That is, how to get it appraised—whether to go for the highest or lowest valuation—to reduce the in-fighting once you’ve passed.
  • And the point at which to do all this? “Do it right away,” Lisa advised. No matter the size of your company, it’s always better—actually, cheaper—to have something in place.
  • Finally, understand that much is out of your control. The estate plan is not a permanent document—it changes with laws, as your family circumstance change, as the economy changes.

In the end, it is a gift, a wonderful legacy, that you can give your children upon your death to have thought through estate planning issues. Don’t be daunted. While unfortunately there are no black and white rules on how to set up an estate plan, you can organize a team of trusted advisors to help get you there.

Lisa says that life is a series of reunions so you should be creating events to train form throughout your life. Lisa is called the Running Nutritionist because she has run numerous marathons, triathlons and other amazing races. Some tips are: don’t bring your spouse to your reunion; create a different plan for the different time frames you have until your reunion; add 5 colors to your diet each day and chocolate brown can’t be one of them; wear something age appropriate; do some exercise in order to burn some calories and remember her 3 Fs food, fitness and faith. Sue talked about business model entrepreneurs can use to capitalize on their idea, what to do first and how to avoid rookie mistakes.

Sue shared about the importance of intellectual property protection in order to stay competitive in today’s fast-paced world.   It’s crucial to rapidly protect your intellectual property in order to enhance  your business growth and secure your business success.

She explained how a step-by-step, cost-effective plan in critical for a company to achieve optimum intellectual property protection of their technology.

Donna Difloe shared her success story or how she turned an idea for an innovative and versatile furniture into a flourishing business.

Donna started her own company, Design Dynamic, which became the “umbrella” for product design and development, intellectual property, marketing and speaking and training engagements.


Before going out on her own Donna was the first Exec. Dir. of the Interior Design Society, and also in Chicago, the Product Manager for Kroehler Furniture.

Donna wanted the comfort and fashion of living room furniture for her outdoor patio. So she created and patented drainable, upholstered seating – an industry first.The furniture wears and washes well. It is mildew resistant and it looks as if it would fit in perfectly with a well-decorated living room.

Lane/Venture of Conover, N.C., incorporated Difloe’s drain system into the cushions of a group of wicker furniture called WeatherMaster. Donna’s patented furniture system has been licensed to Laneventure for 20 years.  Love seats and soft wing chairs as well as wicker with cushions in various patterns are available.

The toy industry is one with easier entry for inventors than many other industries. Because the industry is so idea-centric, it’s often possible to show ideas without a patent requirement. Board, mechanical/electronic, and card games are relatively simple to prototype and present. Mary Ellroy of Gamebird LLC shares with our listeners the basics of game inventing. what is industry is looking for, how to create a prototype, and how to approach the toy industry.

Mary Ellroy, in the toy business since 1990, is an inventor of toys and games and an agent for toy and game inventors.. She comes to toy invention with a corporate marketing background. She received an MBA from the Boston College School of Management (now the Carroll School of Management at Boston College.) Her creative accomplishments in consumer marketing inspired her to turn that creativity to toys and games.

Her games have won multiple awards. Although a prolific speculative inventor, her marketing background places her high on the list as a “games-on-demand” contract inventor for various licenses and theme-specific concepts. As well, she has a commercial understanding of markets and products which takes her beyond the “fun” of toys to the “business” of toys.

Mary serves on the Board of the Yankee Invention Expo, an international forum for inventors. She is President Emeritus of the Inventors Association of Connecticut, one of the oldest and largest inventor organizations in the country, and she has served on the board of Women in Toys.

In today’s Wellness Minute Dr Fitness and the Fat Guy share some healthy kids breakfast ideas. Breakfast is important for everyone but for kids especially. They need the nutrition to get them focused and ready for the school day. Now parents are in charge of this meal – so no excuses. If you have unhealthy breakfast choices in your house that is because the parent paid the money to put them there. So the first step is to get rid of all the unhealthy choices in the house. Next find out what healthy things your kid will eat. Write down all the ingredients that your kid likes to eat and will eat. Now build healthy meals around those ingredients.
