Andrew Henry: You obviously have the time between now and exit and then the time post-exit. Asset diversification is one of the things we talk about. Tax strategies. Again, not a practicing CPA, but I still hold on to it. So no, it’s not enough to be dangerous, but you really need to bring in an expert in the tax realm in order to cross all the T’s and dot all the I’s in order to structure your company in a way that’s going to maximize your value after tax between now and exit.

After exit, or really at exit, there’s a couple of strategies that you could also look into from a charitable giving standpoint. And estate planning, you should bring in an attorney.

Having a team around you is one thing. Bill, that I would also say that it could be a mistake that most business owners would make is not having everybody in place. You talked about people on the bus. If you’re going to go through an exit, you need to have the right advisors on a bus, being an M&A attorney, either a brokerage or an investment banker, obviously CPA, and then what we think is a private wealth guy as well.

I want to take a moment now to talk about “don’t run your business without these two things.” And today I want to talk about the two things that you should never  When our company is growing, sometimes we hire people that don’t share our core values or core focus.

These people may behave in a way that we don’t understand because it’s not who we are.  We’ve all heard the quote, “if you don’t stand for something, you’ll fall for anything.”  Early in my coaching meetings with clients, it’s critical to find out what they stand for, even if it means taking a loss in their company.

I also had to determine what my core values were when I started The Profitability Coach 15 years ago.  So when you’re running a business, it’s crucial to first decide on your core values. Some of mine are adaptability, empathy, and being strategic. If you’ve never done this exercise before, I encourage you to take some time to determine what you stand for and hire people who believe in the same things you do. You may even think about developing a core value speech that you share with each person that you’re thinking about hiring.

Second thing is we must choose perseverance.  Very early in my life, when didn’t want to do homework for school. My dad told me anything worth doing. Is worth doing well.

Studies show that perseverance is an essential quality for success in life. It often tops aptitude and raw talent and is a more accurate predictor of success in life.  When I was laid off at 54 years old, after 32 successful years in banking, I started The Profitability Coach at the height of the great recession with one idea in mind. I had a dream to make business owners, better financial managers of their businesses. 15 years later, I would not be where I am today without choosing perseverance.

So if you’re a business owner or CEO, make sure you’re not operating without these two things.

Challenges in Exiting a Business, with Peter Faser, The Profitability Coach

Peter Faser: I think, the first challenge you always run into is valuation expectations. Having a good understanding of what recent trades are in a specific industry is vital to understanding what your company is worth.

I think a tendency of business owners, because they live it day to day and because they’re emotionally attached to it, is to always think that it is worth X. Like anything, it is worth what someone is willing to pay for it, and especially in businesses, it is worth whether you’re running a discounted cash flow analysis or you’re running an enterprise value based on an EBITDA number.

Where I think I can be most helpful is I’ve spent a lot of time in my career helping clients get to the point where they are ready to sell. But also on the flip side, running due diligence, I worked for two years for an investment bank out of Birmingham, Alabama. And I led the due diligence team because they wanted to expand their line of business.

They wanted to bring a company into the fold, into the holding company. And getting into the weeds of what you look for, the interviews that you’re conducting, the questions you’re asking, and getting into the war room, if you will, of what are the financials really telling you. about the institution that wants to be acquired.

And when you’re on the flip side, I think having worked both sides of the trade, I think I can be very instrumental in helping business owners think through, okay, what is that going to look like for me?

For seven years, Peter worked with Truist Securities, where he originated a new line of business designed to help corporate and investment banking clients recognize human capital efficiencies by increasing productivity, engagement and retention levels.  Through this experience of working with over 500 clients across the country, Peter recognized that the level of advisory services offered to smaller clients was not as prevalent as it once was, and he found that most clients were so focused on running their businesses day to day that they were missing the sensitivity analysis required to move their business forward.  He has now joined forces with his former teammate, Bill McDermott, to help fill this educational gap.  He is excited to be working with The Profitability Coach and getting back to the fundamentals of helping small businesses discover the right path to profitability.

Bill McDermott: I want to talk a minute about the X factor in leadership. In Jim Collins’s book, Good to Great, he calls the X factor of great leadership a paradoxical blend of extreme personal humility and professional will.

I had lunch recently with someone I would consider as having the X factor of leadership. He took on a CEO position about six years ago. He had inherited an old school management philosophy with little resources invested in the professional development, business development, and collaboration of his team members.

He’s somewhat quiet and reserved, but very ambitious in his time as CEO. Thus far, he’s contributed significantly to the business and professional development of his coworkers. He’s changed the culture to one of collaboration, not only with coworkers, but clients as well. His energy is focused hourly. To create an organization of thriving coworkers determined to make their organization the best it can be and invest their time volunteering in the communities they serve.

Here are some key characteristics of top leaders, according to Collins:

  • Personal humility. These leaders are modest and unassuming and don’t seek out the limelight or public recognition. They’re focused on building and sustaining a great organization.
  • Professional will. These leaders have a fierce determination to succeed. They’re willing to do whatever it takes to make their companies great. Even if it means making tough decisions or sacrificing their own personal interests.
  • Ambition for the cause. These leaders are motivated by a larger purpose than their own personal success. They’re passionate about their work and want to make a difference in the world. With these leaders, their ambition is first for the cause for the organization and its purpose, not themselves. Their energy is channeled outward, not inward.

If you want to be a great leader, these are some good places to start.

There are many people that believe, “leaders are born, not made.” They believe there are natural leaders that just seem to have some genetic makeup that turn them into leaders. I respectfully disagree. I believe leaders have a growth mindset which drives them to be lifelong learners and become leaders based on their growth and development.

There are 4 ways that leaders develop:

  1. A highly capable individual. These individuals make significant contributions to their team or organization through their talent, knowledge, skills, and work ethic. They are experts in their field and can consistently produce high-quality results.
  1. A contributing team member. These people are team players who excel at working with others to achieve common goals. They can build relationships, motivate others, resolve conflict, delegate effectively and empower their team members.

Peter Faser has over 25-years of commercial, corporate and investment banking experience.  His passion has always been helping his clients get to a better place financially, whether they are a small business or a publicly traded company.  He began his career with Trust Company Bank in Atlanta, managing a portfolio of middle-market clients and guiding them in appropriate balance sheet management and income statement efficiencies.

Peter then pivoted to specializing in the banking of other financial institutions, and for the next 17 years, Peter assisted his clients with debt and equity capital solutions to promote growth, along with providing startup capital solutions for de novo institutions.  Additionally, Peter and his team ran due diligence on potential acquisition targets in the banking space and assisted in getting his clients ready to sell.

For seven years, Peter worked with Truist Securities, where he originated a new line of business designed to help corporate and investment banking clients recognize human capital efficiencies by increasing productivity, engagement and retention levels.  Through this experience of working with over 500 clients across the country, Peter recognized that the level of advisory services offered to smaller clients was not as prevalent as it once was, and he found that most clients were so focused on running their businesses day to day that they were missing the sensitivity analysis required to move their business forward.  He has now joined forces with his former teammate, Bill McDermott, to help fill this educational gap.  He is excited to be working with The Profitability Coach and getting back to the fundamentals of helping small businesses discover the right path to profitability.

Andrew joined Childs Company in 2014 after beginning his career at Ernst & Young, LLP, which is one of the four largest international professional services firms. Ultimately serving as a Senior Accountant in the Assurance practice, his experience includes working with the initial public offering (IPO) for a Fortune Global 100 company, encompassing debt and equity offerings. Additionally, he gained experience performing analytical procedures and extensive financial analysis for client financial statements.

Andrew is a Certified Public Accountant (CPA) and a Certified Financial Planner™ professional. He focuses on the firm’s strategic growth through business development and client satisfaction. Andrew is also responsible for leading the financial planning and business retirement plan advisory practices at Childs Company.

Andrew graduated from the University of Georgia with a Masters in Accountancy. Andrew actively supports Camp Horizon, a non-profit organization that serves foster care children in metro Atlanta. Seth Peabody: Let’s step into the business owner’s mind and go through their experience and what I’ve garnered from them, also being an entrepreneur. Most CPAs do tax telling. They take your numbers, and they tell you what you owe, and you write the checks, and then you see how much pain it is.

They don’t go into being proactive and thinking of ways to. Reduce your tax and knowing the tax code and using it to the business owner’s advantage. So, for instance, we’re here in Atlanta. A lot of us don’t know about the advantages of oil and gas, and the oil and gas companies really have deep pockets, as we know, and they paid Congress off and Congress makes the rules for the IRS.

And so they have advantageous tax code written specifically to oil and gas. To where, for example, you could take $100,000 and invest it in the stock market and it sits there. You can put it in an independent oil and gas fund and deduct a portion of that in the year you make the investment.

So if you’re at a tax rate and you put in 120 and you’re allowed to deduct a hundred thousand, most everybody’s tax rates, roughly 40%—40 percent times a hundred thousand–you just put $40,000 back in your pocket. So that’s different types of tax strategies and thinking about it differently and being proactive and getting ahead of it.

Toby Anderson: The old saying, if you don’t know where you’re going to get there, and everyone’s got goals. Those goals, as with anything–you need to write them down.

And you need to know how you’re going to get there. Everybody has a goal of retiring at some point, but retirement looks different for almost everybody, right? Is that I want to be done at 62, and I’m never going to do anything? “I’m playing golf five days a week.” Great. If that’s what retirement let’s see what that looks like.

Sometimes it’s: “I’m going to retire, but I’m going to get a part time job because I want to.” “I’m never going to retire.” There’s that one. But you’ve got to know where you’re going, and then are you on track to get there, right? Are you saving the amount of money you need to save to have the lifestyle you desire when that day comes?

And it just makes people put everything down on paper. And even from the younger people, just the importance of budgeting—what’s coming in and what’s going out. Every dollar needs to have a purpose, and do you have the guardrails around what you’re doing to make sure your investments are aligned?

You can’t say, Hey, I need to have this amount of money when I’m doing and have your money sitting in cash. It’s just not going to, it’s just not going to work. And people, helping people understand the risks associated with certain levels of stuff and then the risks of not. Some people’s greatest risk is not being risky enough, right? It’s just important.
