Patrick O’Rourke: [00:00:01] Hi. Patrick O’Rourke here, and another installment of contract provisions in Network Participation Agreements that you should be aware of.

Patrick O’Rourke: [00:00:12] The confidentiality portion is reasonable, right? Typically, you know, they have their proprietary information. They have agreed to certain fees for you and you have agreed to keep them confidential. Now, there’s been a lot of real dangerous language put in there about, you know, irreparable harm and all kinds of other, really, language that can be used purposely and intentionally in a court of law to bankrupt you or to get you to settle. A bit one sided if it’s not mutual.

Patrick O’Rourke: [00:00:58] I’m not a lawyer, by the way, and neither is my opinion a substitute for qualified legal counsel licensed to practice law in your state. This is just one man’s opinion. Somebody who happens to read these contracts a lot and have been doing so for over two decades.

Patrick O’Rourke: [00:01:15] So, confidentiality, good, when they try to prevent or if the contract – not they – the contract language tries to prevent you from accessing the expertise of a subject matter expert, you know, consultant, attorney, anybody else who has expertise in these. That’s when I kind of raised an eyebrow. Again, is it mutual? Are you telling me that that particular payor or that network does not use network or consultants, outside business consultants, folks like myself, or anyone else? There’s a number of different consultants out there. They don’t use attorneys. They don’t use CPAs. I would find that very difficult to believe.

Patrick O’Rourke: [00:02:07] So, for what it’s worth, confidentiality, important. Access to others and to advisors, raising an eyebrow. So, thank you for joining me. Hope you have a terrific day.

Currently, it encompasses four practices throughout southeastern Georgia: Dentistry in Redfern, serving Saint Simons Island and Sea Island; Brunswick Smiles, serving Glynn and MacIntosh Counties including Brunswick and the Golden Isles; Blackshear Family Dentistry, serving Pierce, Wayne, and Ware Counties; and Alma Family Dentistry, serving Bacon and Douglas Counties.

Dr. Powell himself practices on Saint Simons Island in Redfern Village where his business offices are also headquartered. The Powell Dentistry Group employs 35 team members, including a CFO, COO, and five dentist associates.

Dr. Zachary Powell is a general dentist specializing in comprehensive, implant, and family dentistry. He is a Georgia native and graduated from both the University of Georgia and the Medical College of Georgia (now Augusta University). He has been in private practice for 23 years and owned multiple offices.

Dr. Powell is deeply dedicated to his profession and enjoys treating patients of all ages, from all walks of life, all over the great state of Georgia. Additionally, he works as a dental and business consultant throughout the state and has extensive experience in medical/dental office and real estate development. He possesses 25 years of leadership experience in both a professional and civic capacity.

His professional service experience includes positions held at local, state, and national levels and he currently serves as the President of the Georgia Dental Association. Dr. Powell is an honorary fellow with both the Pierre Fauchard Academy and the GDA and has been named to the University of Georgia’s Bulldog 100 twice. Dr. Powell serves on several boards including the Affinity Bank Dental Advisory Board. His commitment to ethics, patient advocacy, and grassroots organized dentistry are the hallmarks of his career.

Through his consultancy, MBC Consultants Inc (Est. 1985), Dr. Cooper’s clients include solo private practice, small-partnered practices, and every range of DSO. Dr. Cooper was founder and president of the DEO until sold in 2018. 

Dr. Cooper has also worked with numbers of other health care entities such as insurance companies, clearing houses, bio-technical companies, and disease management companies, as well as senior executives and boards of large hospitals and hospital systems and a number of their related physician groups. 

In addition, Dr. Cooper has worked with Silicon Valley start-ups and Fortune 500 companies. He has spoken at dental conferences in 17 countries and has worked with dental clients in the U.S., U.K. Canada, Panama, Portugal, Italy, Greece, Dubai, Abu Dhabi, Brazil, Singapore, Australia, New Zealand and Israel. 

Dr. Cooper’s professional career includes private periodontist, academician, researcher, teacher, practice management consultant, corporate consultant, trainer, seminar director, board director, author, entrepreneur, and inventor. He has studied with masters in many disciplines, participated in formal business educational programs, and worked as an independent contractor with top-flight consulting companies. In 2012, Dr. Cooper was selected as a coach for the prestigious TED Fellows Program and is still active with the program. 

Dr. Cooper is author of eleven books, over 200 published articles and more than 2,000 blogs. Once he left the DEO, his focus took two paths.  One, bringing wisdom to leadership.  Two, a commitment to the integration of primary care in dental practice – a commitment which propelled Marc to create Integration of Primary Care in Dental Practice Conference for dentists, DSOs, physician groups, hospitals, investors, suppliers, and advisors in dental practices – the delivery side of the house.
