Michael Rosenthal

Michael Rosenthal has recently transitioned to Clark Hill Law after a successful tenure at Taylor English Duma LLP.

With a robust background in corporate law, he specializes in franchising, distribution, and business succession planning. Throughout his career, Rosenthal has represented both franchisors and franchisees, providing comprehensive legal support that includes Franchise Disclosure Document preparation, state registrations, and ongoing business counseling. His expertise has garnered him recognition in prestigious publications such as Who’s Who Legal and Franchise Times, solidifying his reputation as a leading attorney in the field.

In addition to his legal practice, Rosenthal has held significant roles in various organizations, including serving as an independent director for Inland Retail Real Estate Trust, Inc. (IRRETI) and as a board member of the Exit Planning Exchange’s Atlanta Chapter. He is also an active member of the American Bar Association Forum on Franchising.

Michael Rosenthal/Wagner, Johnston & Rosenthal

Michael Rosenthal with Wagner, Johnston & Rosenthal, P.C. received both his undergraduate and law degrees from the University of Florida. He has been practicing law since 1980. Mike began his career as an Assistant Attorney General for the State of Georgia. Following his entry into private practice in 1984, Mike remained active in service to the State of Georgia, both in the Governor’s Office of Consumer Affairs (as Coordinator of Special Projects) and as Special Assistant Attorney General.

Mike’s practice primarily involves the representation of franchise, distribution, professional and service industry clients, providing both day-to-day business counseling and advice. He is a member of the ABA’s Forum on Franchising and the Georgia Bar’s Franchise and Distribution Law Section. A substantial majority of his time is devoted to representing franchisors and franchisees. Typical franchisor clients include start-up franchisors and systems of 250 or fewer units. Mike prepares their Franchise Disclosure Documents and state franchise registrations, as well as counsels them on the legal side of the franchise sales process, franchisee compliance and all other matters. Typical franchisee clients ask Mike to assist with everything from single unit FDD reviews, corporate and leasing matters to advising multi-unit and multi-system franchisee operators with more complex structures. Mike and his firm also represent both franchisors and franchisees in resolving disputes through mediation, arbitration and in the courts.

Wagner, Johnston & Rosenthal, P.C. is a law firm engaged in a broad based business and commercial law practice in Sandy Springs, GA. The firm focuses its representation on privately held businesses.
